BY-LAWS
OF
THE LAKELAND CIVIC CLUB
ARTICLE I: NAME
The name of this organization shall be the Lakeland Civic Club.
ARTICLE II: OBJECT
The object of the Lakeland Civic Club (LCC) shall be to promote unity and harmony, enhance the quality of life, and promote individual, civic, and commercial growth by providing innovative community leadership within the city of Lakeland, Tennessee.
ARTICLE III: MEMBERSHIP
A. Qualifications
1. Anyone who owns property within the corporate city
limits of Lakeland, Tennessee, and is at least 18 years
of age may become a Resident Member of the LCC.
2. Anyone who is a resident of the state of Tennessee and
is at least 18 years of age may become an Associate
Member.
B. Rights of Resident Members include
1. Attendance of meetings
2. speaking to all issues
3. Voting on issues---one vote per resident member as
defined
4. Holding office
5. Serving as a member of the Board of Directors
6. Nominating for office
7. Making motions
8. Participating in any committee as appointed
9. Approving, by majority vote, all deeds, bonds,
mortgages, promissory notes, and
contracts not regarding the routine operations of the
LCC which have already received approval of the
general membership of the LCC.
10. Right of hearing, discussing and determining by
majority vote, the disposition of any matters
not specifically delegated to other bodies or
officers in the By-laws
C. Rights of Associate Members include
1. Attending meetings
2. Speaking to issues
3. Participating in special committees as members but not
as chairmen, as appointed, with approval by majority
vote of Executive Committee.
D. Obligations
1. Family flues: $5.00 per calendar year per Resident
Membership or Associate Membership
2. Encourage and promote the objectives of the Lakeland
Civic Club.
ARTICLE IV: MEETINGS
A. The time and place of the general
membership meeting shall be determined by the
Executive Committee.
B. Special meetings shall be called by the President with
eight- (8) hours notice prior to the meeting.
C. The Executive Committee, made up of all officers and
committee chairmen, both elected and appointed, shall
meet monthly at a time and place designated by the
President.
D. Special meetings of the Executive Committee will be
called by the President, as required at a time and
place designated by the President.
ARTICLE V: QUORUM
A. General membership --- 10 resident
members. Simple majority of quorum required to pass a
resolution.
B. Executive Committee --- 3 members.
ARTICLE VI: NOMINATING COMMITTEE
A. Five (5) Resident Members in good
standing shall be elected to the Nominating Committee
by the general membership at the regularly scheduled
October meeting.
B. Members of the Nominating Committee may be nominated
for office either by a majority vote of the
Nominating Committee or from the floor.
c. Candidates recommended by the Nominating Committee or nominated from the floor shall have been Resident Members and shall not have been convicted of malfeasance in office, bribery, or other corrupt practice or crime, and if any officer shall be so convicted, he/she shall forfeit that office.
D. The Nominating Committee at the regular November
meeting shall present a recommended slate of officers
to the general membership.
E. Any person eligible to participate in the said
November meeting may make nominations
from the floor.
F. All candidates, whether from the Nominating Committee
or from the floor, must be present at such meeting.
G. All officers will be elected by written, secret
ballot.
ARTICLE VII. OFFICERS
A. The general membership of the LCC shall elect the
following officers:
1. President
2. President-elect
3. Secretary
4. Treasurer
B. Officers shall be elected by the general membership at
the regular November meeting of the LCC for a term of
one (1) year. Said terms to commence on the first day
of January next following the date of election and
expiring on the thirty-first day of December of the
same calendar year.
C. In the event a vacancy occurs in an office, that
vacancy shall be filled at the next regular meeting
of the general membership, provided a minimum of
fifteen days notice is given to the general
membership.
D. Nominations will be taken from the floor to fill said
vacancies, and qualifications for officers shall be
the same as provided in Article VI of the LCC
By-laws.
E. The term of office shall be for that period of the
unexpired term, except as stated in Article VIII,B.
ARTICLE VIII: DUTIES OF ELECTED OFFICERS
A. President
1. Shall preside at meetings of the general membership
of the LCC and of the Executive
Committee.
2. Shall appoint the Chap1ain~ the Parliamentarian,
and the Chairmen of all committees upon
taking office, subject to the approval of
the majority vote of the Executive
Committee.
3. Shall establish committees as needed) subject to
the approval of the majority vote of the
Executive Committee
4. Shall be an er-officio member of all committees,
5. Shall sign such papers as required by his/her
office or instructed by the Executive
Committee.
6. Shall countersign checks along with the Treasurer
as directed by the Executive Committee.
7. Shall make such reports and recommendations to the
Executive Committee and general
membership at regular or special meetings
of the respective bodies concerning the
programs of the LCC as, in his/her
judgment, are desirable for information
and guidance.
8. Shall establish specific committees as instructed
by majority vote of the Executive
Committee.
9. May require such reports from any officer or
committee as in his/her judgment are
necessary.
10. Shall perform other duties incident to that office.
B. President-elect
1. Shall succeed the President in that office upon the
expiration of the President's current
term of office.
2. Shall act as the President and have full powers of
that office during any temporary absence,
inability or failure to act on the part of
President; and whenever a vacancy occurs
in the office oF President,
the President-elect shall become President
for the unexpired term of more than six (6)
months. If the unexpired term is less than six
(6) months, the President-elect shall serve as
President for the remainder of the unexpired
term and shall continue to serve during the
following term of office in which he/she would
normally have served as President.
3. Shall have the right and duty to attend Executive
Committee meetings and have a voice and a
vote.
4. Shall be an er-officio member of all appointed
committees
C. Secretary
1. Shall have the right and duty to attend Executive
Committee meetings and have a voice and a
vote.
2. Shall provide reports as required by the President
or any member of the Executive Committee.
3. Shall keep complete records of the meetings of the
LCC and the Executive Committee meetings.
Including accurate record of attendance of
the Executive Committee meetings.
4. Shall maintain current, accurate membership records
of the LCC.
5. Shall be custodian of all records
of the LCC, except such records and papers
as required by another office, or as
instructed by the Executive Committee

perform such other duties as are incident to the
office.
D. Treasurer
1. Shall have the right and duty to attend
Executive Committee meetings and have a
voice and a vote.
2. Shall provide reports as required by the
President or any member of the Executive
Committee.
3. Shall receive funds of the LCC and
maintain accurate records of all
disbursements.
4. Shall maintain books covering the LCC
financial operations, assets, and
liabilities.
5. Shall make a complete, written annual
report to the LCC.
6. Shall sign such papers as instructed by
the Executive Committee.
7. Shall deposit funds received promptly in
the depository indicated by the Executive
Committee.
8. Shall sign checks along with the President
as instructed by the Executive Committee.
9. Shall perform all other duties incident to
the office.
ARTICLE IX: DUTIES OF APPOINTED OFFICERS
A. Chaplain
1. Shall have the right and duty to attend
Executive Committee meetings and have a
voice and vote.
2. Shall be spiritual adviser of the LCC.
3. Shall perform the services of Invocation
and Benediction at meetings of the LCC.
4. Shall perform such other duties as are
incident to that office.
B. Parliamentarian
1. Shall have the right and duty to attend
Executive Committee meetings and have a
voice and vote.
2. Shall advise the President on points of
procedure in accordance with the By-laws
and/or Robert's Rules of Order.
